Commercial License Agreement

Subject to the terms and conditions of this Agreement and your continuous maintenance of an active, paid FlexiSlugs Member Access subscription (administered via Thangs), FlexiSlugs grants you a non-exclusive, non-transferable, revocable commercial license to produce physical, tangible three-dimensional objects ("Physical Prints") using official FlexiSlugs STL and 3MF files.

This license applies exclusively to physical products manufactured through additive manufacturing (FDM, SLA, SLS 3D printing). Any other form of mass manufacturing, including but not limited to injection molding, silicone molding, vacuum forming, or die-casting, is strictly prohibited.

The commercial authorization granted under this Agreement is strictly contingent upon maintaining an active Member Access membership in good standing. Your commercial rights begin upon confirmation of your first subscription payment and continue on a month-to-month or annual basis as long as your membership is renewed.

If your membership lapses, is cancelled, or is terminated for any reason, your commercial selling rights immediately terminate at the conclusion of your current paid billing period, subject only to the limited inventory sell-through provisions outlined in Section 8.

Under this Commercial License, you are authorized to market, display, and sell Physical Prints through any legitimate retail and e-commerce channels worldwide, including:

• Online marketplaces (Etsy, Amazon, eBay, Shopify, TikTok Shop, etc.);

• In-person sales venues (craft fairs, maker markets, conventions, pop-up stores, comic cons);

• Local physical retail stores and wholesale boutique accounts.

There are no geographic limitations on where you may ship or sell physical finished products.

This license grants rights solely for physical goods. You are strictly prohibited from:

• Selling, reselling, sublicensing, gifting, leasing, or distributing the digital STL, 3MF, OBJ, or source CAD files in any format;

• Uploading FlexiSlugs digital files to cloud repositories, file-sharing sites, torrent networks, Discord servers, Telegram channels, or 3D model repositories (e.g., Thingiverse, Printables, MakerWorld, Cults3D, Thangs);

• Including digital files as bonuses, bundle extras, or promotional giveaways with any purchase;

• Converting digital files into NFTs, metaverse assets, video game files, or digital animations without explicit written consent.

You may utilize third-party 3D printing fulfillment services or commercial print farms solely to produce physical inventory on your direct behalf, provided that:

• The third-party printer is provided files strictly for fulfilling your physical orders;

• The third-party manufacturer receives no independent rights to produce, list, market, or sell FlexiSlugs designs;

• You ensure the third-party deletes all digital files upon completion of your production order.

You are permitted to scale, paint, customize filament colors, add physical attachments (e.g., keyrings, magnets, stands), or make minor geometric adjustments to FlexiSlugs models solely for the purpose of creating unique Physical Prints for sale.

However, any derivative digital work or remix remains the intellectual property of FlexiSlugs. You may NOT distribute, publish, share, or sell modified or remixed digital 3D files under any circumstances.

Attribution: Crediting "Designed by FlexiSlugs" in your product listings or packaging is encouraged and appreciated, but is not legally mandatory on every individual physical listing.

Trademark Protection: You may accurately describe your physical products as "FlexiSlugs articulated models" or by their canonical model names. However, you may NOT:

• Name your store, company, or brand "FlexiSlugs" or any confusingly similar variation;

• Use official FlexiSlugs logos, social media avatars, or website graphics as your own brand identity;

• Claim to be the official creator, exclusive distributor, or corporate partner of FlexiSlugs.

Upon cancellation of your Member Access subscription:

1. Personal File Access: You retain lifetime personal, non-commercial use rights for all STL files downloaded during your active membership period.

2. Cessation of Production: You must immediately cease printing new physical units for commercial sale upon the expiration of your active billing period.

3. 30-Day Inventory Sell-Through: You are granted a grace period of thirty (30) calendar days from the date of subscription expiration to liquidate and sell off physical inventory that was manufactured prior to expiration.

4. After 30 Days: Any commercial listing or sale of FlexiSlugs models following the 30-day grace period constitutes copyright infringement unless your membership is reactivated.

All copyrights, design patents, trademarks, and intellectual property rights in and to the FlexiSlugs 3D models, branding, and promotional assets remain the exclusive property of FlexiSlugs. This Agreement does not transfer ownership of any intellectual property.

FlexiSlugs reserves the right to immediately terminate the license of any member found violating digital distribution restrictions, and to pursue statutory copyright infringement damages, DMCA takedowns, and legal remedies under applicable international copyright laws.
